Special Purpose Vehicle (SPV) (EN)
A separate legal entity created for a specific, narrow purpose — typically to isolate financial risk, hold assets, or facilitate a specific transaction. SPVs are extensively used in project finance (to ring-fence project assets and liabilities from the sponsor's balance sheet), real estate transactions (to hold property titles), securitisation (to hold receivables), and M&A (to structure acquisitions). In the GCC, SPVs are commonly established in DIFC, ADGM, or JAFZA for their favourable regulatory frameworks and enforceability of English-law governed documents.
