Force majeure
An unforeseeable, irresistible event beyond the control of the parties that makes contractual performance impossible. Under UAE Civil Code (Article 273), if force majeure makes performance impossible, the obligation is extinguished and the contract is automatically terminated — there is no concept of 'suspension' under strict UAE civil law force majeure doctrine. This is a critical distinction from common law jurisdictions where force majeure depends entirely on the contractual clause wording. In construction contracts (FIDIC Clause 18), force majeure may entitle the contractor to an EOT and/or termination, but the bar is high: the event must be 'exceptional' and beyond what an experienced contractor could foresee or guard against.
